Terms of Service
These Terms of Service govern the use of the website at https://www.aaaliquidation.lat and the liquidation yard services provided by Aaa Liquidation Centre Inc. from 2-28 Roy Blvd, Belleville - K8N 0L9, Canada (CA). By browsing the site, registering as a buyer, submitting an offer on a bid sheet, buying a fixture, accepting a bulk case quote or scheduling a delivery day run, you agree to these terms. Please read them before you commit to a purchase.
If you do not agree with these terms, do not use the site and do not submit an offer. If you are acting for a company, you confirm that you have authority to bind that company to these terms.
Acceptance of These Terms
These terms form a binding agreement between you and Aaa Liquidation Centre Inc. They apply from the moment you begin using the site and they continue to apply to every transaction you complete with the yard. If there is a conflict between these terms and a signed written agreement between you and the company, the signed agreement will govern for that transaction, to the extent of the conflict.
Where these terms refer to the company, they mean Aaa Liquidation Centre Inc. Where they refer to the yard, they mean the physical premises at 2-28 Roy Blvd, Belleville - K8N 0L9, Canada (CA) and the operations carried on there.
The Services We Provide
The company operates a liquidation centre that handles pallet lot intake, priced aisle clearance, weekly bid sheets, store fixture sales, bulk case deals and delivery day runs. The site describes these services for information. The description on the site is not an offer to sell any particular goods, and the goods available at the yard change from week to week.
We may add, change or withdraw a service at any time. If a change affects a purchase you have already made, we will honour the arrangement that applied at the time of the purchase unless the change is required by law or by the safety of the yard.
Buyer Registration
Anyone may view the priced aisles during yard hours without registering. Registration is required before you submit an offer on a bid sheet or collect a purchased lot. To register, you provide your name, your company name if you have one, an email address and a telephone number, and you confirm that the information is accurate. You are responsible for keeping the details current so that bid sheets and delivery notices reach you.
We may refuse, suspend or cancel a registration where we have reasonable grounds to believe that the information is false, that the buyer has breached these terms, that a payment is overdue, or that the buyer poses a risk to staff or to other users of the yard. We will act reasonably and will give a reason where we can.
Pallet Lot Intake
A pallet lot intake begins when goods arrive at the yard. The clerk counts the goods against the manifest provided by the seller or carrier, photographs the stack and records any damage or shortage in writing. The count recorded at intake is the count used for the lot number and for every document that follows. If you dispute the count, you must raise the dispute at intake or within the period noted on the intake receipt.
Goods that arrive without a manifest, with an unreadable manifest or with a broken seal may be accepted on a best effort basis, but the company will not be responsible for a shortage that cannot be measured. Goods that pose a safety or health risk may be refused or quarantined.
Pricing and Tickets
Goods in the priced aisles carry a ticket showing the unit price, the count and a condition code. The ticket is the price for that stack at the time it is printed. Prices may be reduced as the week progresses to clear the aisle, and a new ticket replaces the old one. A buyer pays the price on the ticket that is attached to the stack at the moment of purchase.
All prices are in Canadian dollars unless stated otherwise. Taxes are added where the law requires them. A price does not include removal, loading or transport unless the ticket or the invoice expressly says so.
Bid Sheets and Offers
The Friday bid sheet lists the lots still standing with their counts, condition notes, viewing window and the deadline for offers. A registered buyer may submit one written offer per lot. Offers are firm and may not be withdrawn after the deadline. The highest offer received by the deadline is normally accepted, but the company may decline an offer where the lot has been damaged, withdrawn or misdescribed, and may reissue the sheet.
If two offers are identical, the earlier offer received is preferred. If a lot is withdrawn after an offer is accepted, the company will refund any amount paid for that lot and will notify the buyer as soon as practicable. The copy of the bid sheet held by the company is the authoritative record of the offers received.
Purchase and Payment
A purchase is complete when the company accepts the price and records the payment. Payment may be made by the methods offered at the clerk bench, which may include card, bank transfer or another method confirmed in writing. Goods remain the property of the company until full payment has cleared.
Invoices are due when issued unless the invoice states otherwise. The company may charge interest on an overdue amount at the rate stated on the invoice or, if no rate is stated, at a reasonable commercial rate. If an amount remains unpaid, the company may retain the goods, cancel the sale and resell the lot, and the buyer will be responsible for the reasonable costs of resale and for any shortfall.
Collection and Delivery
Purchased lots must be collected within the period stated on the sale document, which is normally five business days. If a lot is not collected in time, the company may charge a storage fee for each additional day, and may treat the lot as abandoned after a further period of thirty days. Before disposing of an abandoned lot the company will make reasonable attempts to contact the buyer at the contact details on file.
Delivery day runs are grouped by route and scheduled on set days. The buyer must provide a safe and accessible delivery address, must be available during the agreed window, and must have someone able to receive and sign for the goods. If a delivery fails because of the buyer, the company may charge a second delivery fee. The buyer is responsible for securing the load before it travels on a public road.
Store Fixtures
Store fixtures are sold as items to be removed by the buyer. The buyer is responsible for disconnecting services, dismantling where required, and removing the fixture without damage to the premises. Where a fixture contains refrigerant or another regulated substance, the buyer must use a qualified technician and must comply with the applicable environmental rules.
The buyer must remove a fixture by the date stated on the sale document and must leave the bay in a clean and safe condition. The company may charge for the cost of cleaning or repair where the removal leaves damage, and may retain a fixture until those costs are settled.
Bulk Case Deals
A bulk case deal is a quote for a fixed quantity of uniform goods, usually full cases or matched pallet layers. The quote states the count and the price, and it is valid for the period stated on the quote. The buyer must inspect the goods before the deal is confirmed or accept the goods on the basis of the count and the condition note in the quote.
Cases are not broken for a bulk deal. If the count differs from the quote because of a mistake at intake or a loss discovered before collection, the company will adjust the price and notify the buyer before the goods are released.
Goods Condition and No Warranty
Liquidation goods are sold in the condition in which they stand at the yard. They may be damaged, incomplete, expired, returned, overstock or display stock, and they are sold as seen. The company makes no warranty that goods are fit for a particular purpose, that they are of merchantable quality, or that they match a description beyond the count and condition note recorded at intake.
The buyer is responsible for inspecting the goods before purchase and for deciding whether they meet the buyer requirements. Photographs and descriptions on the site or on a bid sheet are provided as a convenience and are not a warranty. Where consumer protection law gives a right that cannot be excluded, that right is not affected by this section.
Returns and Claims
Because liquidation goods are sold as seen, sales are final. A claim will be considered where the goods delivered do not match the count on the sale document, where the goods are found to be materially different from the condition note, or where a lot was misdescribed in a way that could not have been seen on inspection. A claim must be made within forty eight hours of collection or delivery and must be supported by photographs and by the sale document.
Where a claim is accepted, the company may offer a replacement lot, a credit or a refund, at its reasonable discretion. The company is not responsible for loss of profit, loss of business or other consequential loss arising from a claim.
Title and Risk
Title to goods passes to the buyer when the company has received full payment and has released the goods. Risk passes to the buyer when the goods are released at the yard or loaded for delivery, whichever comes first. The buyer is responsible for insuring the goods from that moment.
If a third party asserts a claim over goods sold by the company, the company will cooperate with the buyer and with the third party to resolve the matter, but the company does not warrant that a third party claim will not arise.
Yard Conduct and Safety
The yard is a working industrial site. Visitors must follow the instructions of the staff, stay out of areas marked as restricted, wear suitable footwear and keep children and pets under control. Visitors must not climb on stacks, move pallets without a clerk, or interfere with the bid sheets or the tickets on the stacks. A visitor who fails to follow these rules may be asked to leave and may have a registration suspended.
The company may close the yard at short notice for weather, safety or operational reasons. If a booked viewing or collection cannot go ahead, the company will contact the buyer and arrange a new time.
Website Content and Ownership
The content of this site, including the text, the layout and the visual design, is owned by the company or used with permission. You may view and print pages for your own use in dealing with the yard. You may not copy, republish, sell or distribute the content, or use the company name or marks in a way that suggests endorsement, without written permission.
The site is provided for information. While we try to keep the content accurate, the yard changes daily, and a page may describe a service or a schedule that has since been updated. The bid sheet issued for a given week is the authoritative record of the lots available in that week.
Limitation of Liability
To the extent permitted by law, the company is not liable for indirect, incidental, special or consequential loss, including loss of profit, loss of business or loss of goodwill, arising from the use of the site or from a transaction at the yard. The total liability of the company for a transaction is limited to the amount paid by the buyer for the goods that are the subject of the claim.
Nothing in these terms limits liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be limited. Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages, so part of this section may not apply to you.
Indemnity
You agree to indemnify and hold harmless the company, its staff and its contractors from any claim, loss, cost or expense arising from your breach of these terms, from your misuse of the yard or the site, from a claim by a third party about goods you have purchased, or from your failure to comply with a safety or environmental rule.
This indemnity does not apply to the extent that the claim results from the negligence or wilful misconduct of the company.
Privacy
The company handles personal information in line with its Privacy Policy, which forms part of these terms. The Privacy Policy explains what information is collected, how it is used and the choices available to you. If you have a question about privacy, contact us at liquidations@aaaliquidation.lat or call +15747091330.
Events Outside Our Control
The company is not liable for a delay or a failure to perform that is caused by an event outside its reasonable control, including severe weather, a power failure, a transport disruption, a labour dispute, a public health order or an act of a public authority. Where such an event occurs, the company will contact affected buyers, will reschedule where possible and will refund an amount paid for a lot that cannot be supplied.
Governing Law
These terms are governed by the laws of Canada and by the laws of the province in which the yard is located, without regard to conflict of law rules. The parties submit to the exclusive jurisdiction of the courts located in that province for any dispute arising from these terms or from a transaction at the yard.
Before starting a formal proceeding, the parties will try in good faith to resolve the dispute through discussion. If a dispute cannot be resolved within thirty days of a written notice, either party may proceed to court.
Severability and Entire Agreement
If a provision of these terms is found to be invalid or unenforceable, the remaining provisions remain in force, and the invalid provision is read down to the extent needed to make it enforceable. These terms, together with the Privacy Policy and the sale documents for a particular transaction, form the entire agreement between you and the company about that transaction.
A failure by the company to enforce a provision on one occasion is not a waiver of the right to enforce it later.
Changes to These Terms
The company may update these terms to reflect a change in the law, in the services or in the way the yard operates. The current version is published on this page, and the effective date at the top shows when it took effect. A change applies to transactions completed after the updated terms are published, unless the law requires otherwise. If a change is material, the company will take reasonable steps to notify registered buyers.
If you do not agree with an updated version, you may stop using the site and stop trading with the yard. Continuing to use the site after the update means that the updated terms apply.
